MPS, Consob and Antitrust approve OPS on Mediobanca. Starting on July 14

Everything is ready for the start of the offer relating to the voluntary total public exchange offer or (OPS) promoted by Banca Monte dei Paschi di Siena on all the shares of Mediobanca, after the green light from Consob to the information prospectus and the unconditional authorization from the Antitrust Authority arrived yesterday evening.
Consob's OKThe supervisory authority has approved the offer document relating to the OPS, which will be published before the launch of the offer. For each Mediobanca share tendered to the Offer, MPS will recognize a unit consideration represented by 2.533 newly issued ordinary shares of the offeror . The acceptance period, agreed with Borsa Italiana, will start at 8:30 (Italian time) on 14 July 2025 and will end at 17:30 (Italian time) on 8 September 2025 (subject to extensions) and, therefore, will be equal to 40 trading days.
The consideration will be paid on the payment date , i.e. 15 September 2025, unless the membership period is extended in accordance with current legislation. If the conditions are met, the membership period may be reopened for an additional 5 trading days and specifically, unless extended, for the sessions of 16, 17, 18, 19 and 22 September 2025.
The green light from the AGCMMPS has also received unconditional approval for the acquisition of control of Mediobanca from the Italian Competition Authority (AGCM).
Also yesterday evening, the AGCM expressed its opinion on another game of Italian banking risk. It authorized the operation of acquisition of control of BP Sondrio by BPER, but subject to the execution of the sale of 6 branches (of which 5 of BPER and 1 of BP Sondrio) to banking operators within ten months from the date of authorization of the operation. BPER considered that the condition set by the AGCM is "completely compatible with the objectives of the offer".
MPS accountsIn the meantime, right in the middle of the offer, that is, on August 5th, the institute led by Luigi Lovaglio will approve the half-yearly accounts, from which a more up-to-date picture of the health of the Sienese bank will emerge.
