Indra leaves the negotiations with EM&E in the hands of its CEO, José Vicente de los Mozos.

Indra has informed the market, through a significant announcement, that its CEO will lead the search for relevant companies in the defense sector that could provide "added value" to the company. In this way, the Spanish multinational responds to the reports that have appeared in the media since last Thursday, confirming the existence of a process of "analyzing different opportunities," which includes the option of Escribano Mechanical and Engineering (EM&E), as well as compliance with good corporate governance practices.
This last contribution implicitly indicates that Indra's discussions with potential candidates to join the Spanish defense giant will be led by José Vicente de los Mozos, CEO of the multinational , and in no case by the president, Ángel Escribano, brother of the president of EM&E, Javier Escribano. Similarly, if the transaction reaches the board of directors, both Indra's president, Ángel Escribano, and the company's proprietary director, Javier Escribano, representing Escribano, should be absent from both the deliberations on the acquisition and any votes that may take place.
Specifically, the statement refers to a possible Indra transaction with Escribano, to specify that, " within the framework of the Strategic Plan," the company "is carrying out a continuous process (...) of analyzing different opportunities with relevant players in the Defense sector that provide added value to the Company, and which, among them, includes the company Escribano Mechanical and Engineering.
However, Indra makes it clear in the same document submitted to the CNMV that "as of today" there has been "no decision taken other than those communicated to the market," but without ruling out the possibility of such contacts occurring in the future.
