Court dismisses lawsuits regarding failure to grant discharge to two former members of Orlen's management board

The cases concerned resolutions regarding the failure to grant discharge for 2023 to Michał Róg and Iwona Waksmundzka-Olejniczak. Both persons held positions on the Orlen management board until February 2024.

The Płock-based concern announced on Thursday that the court had dismissed the lawsuits in their entirety. It added at the same time that the judgments in these cases were not final. Earlier, in August last year, the company announced that it had filed several lawsuits to the court to declare the invalidity of the resolutions of the ordinary general meeting of June 25, 2024, which concerned the lack of discharge for former members of the management board and supervisory board.

In June 2024, the Orlen ordinary general meeting did not grant discharge to 11 members of the management board and 10 members of the supervisory board serving in 2023 - including the then president Daniel Obajtek and the then chairman of the supervisory board Wojciech Jasiński.

In the case of the 2023 management board, in addition to Daniel Obajtek, the following persons did not receive a discharge: Armen Artwich, Adam Burak, Patrycja Klarecka, Michał Róg, Jan Szewczak and Józef Węgrecki, as well as Piotr Sabat, Krzysztof Nowicki, Iwona Waksmundzka-Olejniczak and Robert Perkowski.

Most of the previous board members retired in February 2024.

In turn, in the case of the supervisory board of 2023, in addition to Wojciech Jasiński, discharge was not granted to: Andrzej Szumański, Anna Wójcik, Barbara Jarzembowska, Andrzej Kapała, Michał Klimaszewski, Roman Kusz, Jadwiga Lesisz, as well as Anna Sakowicz-Kacz and Janina Goss.

The Supervisory Board in this composition was dismissed on 6 February 2024.
